GE HealthCare to acquire PET radiopharmaceutical maker SOFIE Biosciences for $945m, gaining 15 US CMO sites and 21 cyclotrons to expand its PDx theranostic

GE HealthCare has entered into a definitive agreement to purchase SOFIE Biosciences, a U.S.-based contract manufacturing organization specializing in PET radiopharmaceuticals, from private equity firm Trilantic North America.
The transaction, valued at USD 945 million in cash, was announced on October 5, 2026, from Chicago, Illinois, and is anticipated to close in the first half of 2027, pending closing conditions that include regulatory approvals.
Once the deal completes, SOFIE Biosciences will be folded into GE HealthCare's Pharmaceutical Diagnostics (PDx) segment.
With the purchase, GE HealthCare secures a position in the time-critical "final mile" of PET radiopharmaceutical distribution in the United States while opening the door for the PDx segment to take part in high-growth areas beyond its existing product portfolio.
SOFIE Biosciences contributes a U.S. network comprising 15 CMO sites with 21 cyclotrons, plus a theranostics-focused Contract Development and Manufacturing Organization (CDMO) site.
The company frames the deal as a way to broaden its presence in the U.S. radiopharmaceutical sector, support dependable patient access to novel radiopharmaceuticals, and allow GE HealthCare to offer solutions across the entire theranostics pathway, from cyclotrons to imaging systems, digital workflow tools, and radiotherapeutics infrastructure.
Kevin O'Neill, President & CEO of GE HealthCare's PDx segment, noted that the PET radiopharmaceutical market is growing quickly as innovative radiotracers are introduced and precision care advances, including wider adoption of targeted therapies.
He expects SOFIE Biosciences to grow in the low double digits under GE HealthCare ownership and said the company will be able to take part across the radiopharmaceutical value stream, serving customer demand through a combination of GE HealthCare-owned and partner facilities.
"SOFIE Biosciences has a highly skilled team with deep expertise serving U.S. customers, including manufacturing our Flyrcado (flurpiridaz F18 injection) product," O'Neill said. "We will leverage our scale and expertise in radiopharmaceutical manufacturing across the U.S., Europe, and Japan to further invest in and grow SOFIE Biosciences, helping improve patient access, strengthen reliability of supply, and support the next generation of precision care products."
Patrick Phelps, co-founder, President & CEO of SOFIE Biosciences, said that with demand for F18 products rising and pipelines for new diagnostics and therapeutics expanding, joining GE HealthCare represents an exciting step in the company's evolution as a leading U.S. CMO.
"With Trilantic North America's support, we have significantly expanded our capabilities and scale, and we share GE HealthCare's ambition to improve patient outcomes by delivering on the promise of radiopharmaceuticals as we look ahead to our next phase of growth," Phelps said.
Ted Rosenwasser, Partner at Trilantic North America, said the firm is incredibly proud of what Phelps and the SOFIE Biosciences team accomplished during their partnership. He added that SOFIE Biosciences grew significantly during that time, investing in its network and manufacturing capabilities to help meet growing demand and enable increased and reliable patient access to critical products.
The transaction hands GE HealthCare U.S. rights to FAPI-74, SOFIE Biosciences' Phase III F18 Fibroblast Activation Protein Inhibitor (FAPI) asset. GE HealthCare already holds rights to the asset outside the United States.
FAPI is described as a Phase III pipeline PET radiotracer with pan-cancer imaging potential, positioned to be among the first to launch in a large and fast-growing market.
Per the announcement, FAPI could further expand an already fast-growing global PET imaging market and is demonstrating strong potential for diagnostic and theranostic use across a range of oncologic and non-oncologic indications.
PET radiopharmaceuticals serve precision medicine by visualizing metabolic and molecular activity and, increasingly, by delivering targeted therapies across multiple disease areas.
F18 labeled PET radiopharmaceuticals carry a 110-minute half-life, making PET CMOs essential to timely and reliable patient access to both current and pipeline products.
Across the industry, the radiopharmaceutical pipeline is expanding rapidly, with roughly 20 PET radiotracers and more than 30 radiotherapeutics currently in development.
Once the deal closes, SOFIE Biosciences will keep operating as an independent manufacturing partner to its customers, supplying its current product portfolio, which includes products from other leading radiopharmaceutical providers.
In parallel, GE HealthCare's PDx segment will maintain its partnerships with other established CMOs to drive and expand patient access to its radiopharmaceutical portfolio.
GE HealthCare stated it will continue to drive and expand access to its existing proprietary F18 radiopharmaceutical products while advancing its pipeline of new products, working through both SOFIE Biosciences and PDx's other established CMO partners across the U.S.
SOFIE Biosciences is a U.S.-based CMO for PET radiopharmaceuticals and has been owned by Trilantic North America, a private equity firm. The company has manufactured Flyrcado (flurpiridaz F 18 injection), a GE HealthCare product.
GE HealthCare trades on Nasdaq under the ticker GEHC and announced the transaction from Chicago, Illinois.
